Ad.com Terms and Conditions

Version 1.0 — Last updated October 14, 2026

These Terms and Conditions (the "Terms") govern the Ad.com website (the "Site") and the advertising platform and related services (the "Services") provided by Ad.com Interactive Media, Inc., a California corporation, located at 21200 W Oxnard Street #429, Woodland Hills, CA 91367 ("Ad.com," "we," "us" or "our"). "You" means the person using the Site or Services and, where that person acts for a business, that business. An "Advertiser" is the business whose advertisements are placed through the Services.

You accept the website provisions of these Terms by using the Site after receiving reasonably conspicuous notice that those provisions apply and a reasonable opportunity to review them, to the extent permitted by law. Before using the advertising Services, you must affirmatively accept these Terms through the platform or a signed agreement. If you act for a business, you represent that you have authority to bind it. Campaign and line-item settings you approve ("Campaign Settings"), the advertising requirements in section 4, and any applicable signed order or data agreement form part of your agreement with Ad.com (the "Agreement"). The Agreement takes effect when you accept it. We retain the version and date accepted for your advertiser account. The advertising, payment and promotional provisions apply when you use those Services; browsing the public Site alone does not enroll you in the promotion or authorize a charge.

1. The Services and Website

1.1 Advertising services. Ad.com lets you create and manage campaigns and line items. Available channels are identified in the platform. Text advertising is delivered through the AdMedia network, including owned sites and distribution partners. When enabled, display and video advertising may use auctions for inventory on websites, mobile apps and connected TV. A channel or feature shown as a preview or available only for building a campaign cannot deliver or incur advertising charges until it is enabled and the line item is eligible to run.

1.2 Inventory and results. We may deliver advertising on inventory owned, operated or managed by us, our affiliates or third parties, including publisher portals we manage. We may receive compensation for buying, selling or managing that inventory, in addition to the platform fee disclosed to you. Unless expressly stated in a signed order, we do not act as your fiduciary or promise the lowest available inventory price, a particular placement, a minimum volume, or any number of clicks, conversions or other results. Delivery depends on available inventory, auctions, approved creatives and Campaign Settings.

1.3 Agreed delivery commitments. Any guaranteed delivery and remedy for a shortfall must be stated in a signed order. A makegood or extension requires an agreed schedule and must not increase your authorized budget or change a funded line item's locked settings without your express agreement. No guarantee of sales or business results is implied.

1.4 Availability. We may reasonably modify, suspend or discontinue features. We will apply section 5 to unused customer-paid funds and section 6 to promotional credit. We do not promise uninterrupted availability, and will not charge for advertising that is not delivered.

1.5 Website use. We grant you a limited, revocable, nonexclusive right to access the Site for lawful personal or business information and to use the Services as authorized by this Agreement. Site content, software, branding and other materials belong to Ad.com or its licensors. Except as permitted by law or expressly authorized, you may not copy or resell them, reverse engineer the platform, bypass access controls, interfere with security or availability, or use automated extraction to collect confidential information or personal data. You retain ownership of your advertisements and data, subject to the rights granted in this Agreement. Links to third-party sites do not constitute an endorsement; those sites have their own terms and privacy practices.

2. Your Account and Verification

2.1 Eligibility. The advertising Services are for business use by persons able to enter into a binding contract. You must be at least 18 years old and authorized to act for the Advertiser.

2.2 Verification. Before delivery, you must complete the verification required for your account. We may request business, domain, payment and identity information. You must provide accurate, complete and current information. We may approve, reject, suspend or reverse verification on reasonable grounds, including inconsistent information, fraud, security concerns or legal requirements. Verification is not an endorsement of your business or advertising.

2.3 Domains and users. You must own or have authority to advertise each listed domain. You are responsible for authorized account users, credential security and activity you authorize. Notify us promptly of suspected unauthorized access, and cooperate in securing the account.

2.4 Agencies. If you manage campaigns for clients, you must have authority to act for each client and accurately identify the Advertiser. You are responsible for the campaigns and payments you authorize and for your own compliance with this Agreement. Client eligibility for the promotion is determined under section 6 and cannot be created by opening duplicate accounts.

3. Advertisements and Creatives

3.1 Your content. You are responsible for the text, images, graphics, video, code, landing pages and other materials in your advertisements (each an "Advertisement"), and for the products, services and claims they promote. You must have all necessary rights, permissions and substantiation.

3.2 Technical changes. We may resize, reformat, encode or make other technical changes needed for delivery and measurement, including adding click or impression tracking, without materially changing an Advertisement's message. Substantive content changes require your prior written approval; approval through the platform or email is sufficient.

3.3 License. You grant Ad.com a nonexclusive, worldwide, royalty-free license to host, reproduce, adapt as allowed by section 3.2, distribute, display and perform Advertisements solely to provide the Services. We may sublicense those rights to affiliates, publishers and delivery partners as needed for that purpose. This does not authorize unrelated publicity or sale of your creative content. The license ends when delivery ends, except for reasonable recordkeeping, legal compliance and resolving disputes.

3.4 Review. Advertisements must pass the review required for the applicable channel before delivery. Changes to creatives, destinations, descriptions or domains may return the affected Advertisement to review and pause its delivery. Approval does not relieve you of responsibility for compliance.

3.5 Rejection and removal. We may reasonably reject, pause or remove an Advertisement for violations, fraud, security, inventory restrictions or other legitimate delivery concerns. We may act without advance notice when necessary, and will provide notice and a reasonable explanation when practicable. We may allow a cure where appropriate; we are not required to continue unlawful or unsafe delivery. Unspent funds are handled under sections 5 and 6. Nothing in this section limits rights or remedies that cannot lawfully be excluded.

4. Advertising Requirements, Quality and Brand Safety

4.1 Prohibited content and conduct. Advertisements and landing pages must comply with applicable law and must not contain or promote illegal activity, fraud, deceptive claims, infringement, malware, hidden or unauthorized downloads, credential theft, hate speech, sexual exploitation or other unlawful content. Tobacco or vape products, weapons, and adult or sexually explicit content are prohibited. An approval or order cannot override these prohibitions or applicable law. Do not use pop-ups, hidden windows, forced redirects, deceptive close buttons or other disruptive behavior unless it is lawful and we expressly approve the specific behavior for the applicable inventory.

4.2 Restricted categories and partner policies. Alcohol, gambling, dating, pharmaceutical or health claims, financial services, cryptocurrency and political advertising require our advance approval and any legally required licenses or disclosures. Approval is specific to the relevant content, geography and inventory. Publisher, exchange and network restrictions may be stricter and remain applicable to their inventory. We will make material additional policies available before the affected campaign is submitted or funded. The Advertising.com policies at https://advertising.com/ad-policies/ apply when your campaign uses inventory subject to those policies. If a later legal or partner restriction prevents delivery, unused funds are returned under sections 5 and 6. This section states Ad.com's general requirements and does not represent that all channels or restricted categories are available.

4.3 Quality and placement controls. We use reasonable measures to avoid inappropriate or poor-quality inventory and provide available placement controls. Most inventory is controlled by third parties; we cannot guarantee every placement or eliminate all objectionable inventory. Report a suspected issue promptly so we can investigate and take appropriate action.

4.4 Invalid traffic. We use our controls and, where applicable, independent vendors to identify invalid traffic, including bots, malware and artificial activity. Detection is not perfect. You will not be charged for traffic that we or our vendors determine is invalid. We will reverse or credit the related advertising cost and associated platform fee, including where the determination occurs after initial reconciliation. We recalculate net valid delivered cost and restore the appropriate funding sources under sections 5.6 and 6.5; an adjustment cannot convert customer-paid money into nonrefundable promotional credit.

5. Budgets, Payment, Fees and Refunds

5.1 Prepayment and authorization. Each line item is funded once before it first becomes eligible to deliver. You authorize us to apply eligible promotional credit under section 6, then available customer-paid balance, and then charge the remaining authorized amount to your payment method. The amount to be funded and the applicable fee are disclosed before funding. All budgets and payments are in US dollars. We do not charge again merely because you pause and resume the same funded line item.

5.2 Total budget. A lifetime budget is the amount you set. For a daily-budget line item with a defined flight, the total authorized budget is the daily amount multiplied by the number of days shown in the funding confirmation. Review that total before authorizing funding.

5.3 Platform fee and budget ceiling. The applicable platform-fee rate is disclosed for your account before funding and is included in the total advertising budget. It is a percentage of the total advertiser cost, not a markup percentage on media cost: media cost equals advertiser cost multiplied by one minus the fee rate. For example, at a 10% fee, $100 of total advertiser cost comprises $90 of media cost and $10 of platform fee. Your disclosed rate may differ. We will not apply a changed rate to an already funded line item. Advertising cost, including the platform fee, will not exceed the authorized budget; we absorb any delivery overspend. Taxes, if applicable, are handled under section 5.7 and must be disclosed separately before charging.

5.4 Funded settings. After funding, the line item's channel, budget, bid, pacing and flight dates are locked as shown in the platform. You may pause or archive it. A material change requires a new line item or an expressly agreed supported change; the new line item will be charged its total budget when it is eligible to deliver.

5.5 Declined payments. A line item will not deliver until required funding succeeds. If payment fails, update your payment method and follow the retry process. We may suspend affected delivery while amounts properly owed remain unpaid.

5.6 Reconciliation, balances and refunds. We normally reconcile a completed or archived line item after a 24-hour reporting period, with processing on the next scheduled cycle. The initial reconciliation remains subject to reporting-error and invalid-traffic adjustments. Unspent customer-paid funds return to your available paid balance and are applied toward future line items. That balance does not expire while we hold it, subject to laws concerning unclaimed property. On account closure, we stop or archive active line items and reconcile available and allocated paid funds. We refund unused customer-paid funds within 30 calendar days after closure, accounting once for valid delivered charges, prior refunds, chargebacks and amounts properly owed. No amount is deducted or refunded twice. Paid-balance adjustments determined after closure are refunded separately within 30 calendar days after determination. Refunds are made to the original payment method where reasonably possible, or another verified method agreed with you. We may request information needed to verify ownership or comply with law and will explain any legally required hold. Promotional credit is tracked separately under section 6 and is never converted into refundable paid balance.

5.7 Taxes. The advertising budget and promotional credit exclude applicable sales, use or similar transaction taxes unless the funding confirmation expressly states otherwise. Any tax we are required to collect will be identified before payment and charged only as disclosed. Provide a valid exemption certificate if applicable. You are responsible for your own income and other taxes arising from your business or receipt of promotional benefits. We do not charge you taxes imposed on our net income.

5.8 Billing questions. Report a suspected billing error promptly through support or the notice contact in section 24, preferably within 60 days of the relevant statement or transaction. We will investigate reasonably supported disputes. This reporting period does not waive rights that cannot be waived, prevent later invalid-traffic corrections, or make an erroneous charge valid. You remain responsible for undisputed amounts. We may suspend affected delivery for a payment dispute, suspected fraud or unpaid authorized charges, but a good-faith complaint alone does not forfeit your paid balance.

6. $5,000 Ad Credit Offer

6.1 Offer and enrollment. An eligible new Advertiser that incurs at least $25,000 in Qualifying Spend during its first 30 consecutive days receives $5,000 in promotional advertising credit ("Ad Credit"). You are enrolled automatically when your first eligible line item is successfully funded while this offer is available to your account. No separate promotional code is required. The platform will record the enrollment and qualifying-period dates. Simply opening an account, depositing funds or claiming the offer does not itself earn the credit.

6.2 Eligibility and agency clients. You must be a new, verified Advertiser in good standing with an authorized payment method. An Advertiser business and businesses under common ownership or control may receive this offer once and must not have previously advertised through Ad.com. We may reasonably verify business identity, domains, ownership and account history to prevent duplicate claims. Sharing an agency or payment method does not by itself disqualify otherwise independent clients. Each eligible agency client qualifies separately on its own identified account and spend; an agency must have authority to act for it. Spend cannot be pooled across unrelated clients, and neither agency management nor a new account creates a second offer for an existing Advertiser. An agency advertising its own business is subject to the same rules.

6.3 Qualifying period and spend. The qualifying period begins at the recorded time your first eligible line item is successfully funded and lasts 30 consecutive 24-hour periods. "Qualifying Spend" means the actual cost of valid advertising delivered during that period and funded with customer-paid money, including the associated platform fee. All channels enabled for delivery and eligible for the offer count; preview-only or undelivered campaigns do not. Taxes, deposits or unspent budget, other promotional credits, refunded or reversed amounts, chargebacks and invalid traffic do not count. Transactions intended to manufacture qualifying spend, including buying controlled inventory solely to earn the credit, do not qualify. Spend must be successfully paid and attributable to the eligible Advertiser's account. Delivery within the qualifying period counts even if properly recorded afterward. We use verified delivery and billing records, subject to corrections and the dispute process in section 5.8.

6.4 Issuance. We reconcile Qualifying Spend as delivery and payments are recorded. If qualifying advertising delivered during the qualifying period totals at least $25,000 in Qualifying Spend, as verified in our records, and you meet the other requirements, we automatically issue $5,000 of Ad Credit within seven calendar days after that threshold is established in those records; you do not have to wait for the full qualifying period to end. We show the credit, issue date and expiration separately from paid balance. If a reasonably supported fraud or payment concern prevents issuance, we will notify you, explain what is needed to resolve it, and issue the credit promptly if eligibility is established.

6.5 Redemption and funding order. Ad Credit applies only to eligible advertising cost, including the platform fee, for future delivered Services. It cannot pay for earlier advertising, taxes or the $25,000 qualifying requirement. Only line items with flight dates ending no later than the credit's expiration may use that credit. At funding of an eligible line item, we allocate usable Ad Credit first, then available customer-paid balance, then the remaining authorized card payment. Other line items use paid funds unless you choose a separate eligible flight. Each funding source is recorded separately. Ad Credit is consumed first against net valid delivered advertising cost, then paid funds. When cost is reduced by an error correction, invalid-traffic adjustment or refund, funding sources are restored in reverse order: paid funds first, then the consumed promotional credit. The net result must preserve the original promotional-first funding priority without creating additional credit or refunding any amount twice. Restored Ad Credit keeps its original expiration and cannot revive expired or canceled credit, except for a replacement expressly provided under section 6.6.

6.6 Expiration and unused allocations. Ad Credit expires 90 consecutive 24-hour periods after issuance, at the expiration time shown in the account. It must be used for actual eligible advertising delivered before that time. Reserving or funding a line item does not extend expiration. If an eligible line item ends or is archived early, unused credit returns to its original promotional balance with the same expiration; if that time has already passed, the unused credit expires. At expiration, unused credit, including unused amounts allocated to funded line items, is canceled. We will not silently replace expired credit with a new card charge; further delivery requiring funding needs your express authorization. Valid advertising delivered before expiration may be reconciled afterward without losing its credit coverage. If we correct an error attributable to Ad.com after credit expires, we will replace the promotional amount affected by that error with credit usable for at least 30 days after replacement. Paid-fund corrections remain refundable under section 5.6.

6.7 Restrictions. Ad Credit has no cash value and is nonrefundable. It cannot be redeemed for cash, sold, transferred or assigned. It cannot be combined with another promotional offer unless we expressly authorize that combination in writing. It is not a refund or a reduction of the original qualifying-spend obligation. You remain responsible for taxes and separately authorized advertising costs not covered by usable credit.

6.8 Corrections and misuse. Before issuance, reporting and payment corrections may change eligibility. After issuance, if a routine correction or refund reduces Qualifying Spend below $25,000, we may cancel only the unused portion of the credit, including unused credit allocated to a running line item; credit already used does not become a debt solely because of that correction. After cancellation, delivery is limited to the remaining usable funded amount and must stop when that amount is exhausted. Additional funding requires your express authorization and cannot be taken automatically from your card or paid balance. We may also withhold or cancel unused credit for reasonably supported fraud, duplicate claims or a material violation. We will explain the basis when lawful and practicable and provide a reasonable opportunity to contest a factual error. Recovery of previously used credit for actual fraud or duplicate claims requires written notice and a reasonable opportunity to respond and does not authorize an automatic card charge or a silent deduction from refundable paid funds. Lawful remedies for actual fraud and valid authorized charges remain available. A routine reporting adjustment is not itself evidence of fraud.

6.9 Offer changes, account closure and service termination. We may change or end the offer prospectively for new enrollments by updating the published offer. The rules recorded when you enroll continue to govern your qualifying period and any credit earned under them. Unused credit is forfeited when you close the account or when we terminate it for a material violation. If Ad.com ends the Services or terminates your account for convenience without a violation, we will give a reasonable opportunity to use earned credit where reasonably practicable, or provide an equivalent replacement promotional opportunity; credit is not payable in cash. Customer-paid refunds remain governed by section 5.6.

6.10 Taxes and precedence. Ad Credit cannot pay taxes and does not promise any particular tax treatment of a promotional benefit. Section 5.7 applies. This section controls over conflicting general provisions solely for this offer; a separate signed agreement expressly changing this offer controls for its subject matter.

7. Pausing and Delivery Timing

7.1 You may pause or archive a line item or campaign through the platform. We process the request promptly. Only valid advertising actually delivered is chargeable, including delivery irrevocably committed before the stop took effect and recorded afterward, subject to the authorized budget ceiling. A pause does not authorize a new charge or extend a promotional expiration. Archive a line item to end its flight and begin reconciliation under section 5.6.

8. Reporting and Billing Records

8.1 Our server and partner records are the primary basis for billing and delivery reports. We will correct substantiated errors and identified invalid traffic. Preliminary dashboard reports may change as delivery is reconciled. A discrepancy with a third-party report will be investigated where reasonably supported; our records are not conclusive evidence of an error-free charge.

8.2 We provide available delivery and performance reporting through the account dashboard. Measurement methods and attribution windows may differ across systems and channels. Reporting does not guarantee outcomes or override the budget ceiling, refund rights or promotional rules in these Terms.

9. Pixels, Data and Privacy

9.1 We may provide or request pixels or similar technology for site verification, conversion measurement or authorized advertising. You must install them correctly, provide required privacy notices and obtain necessary permissions or consent before transferring data or allowing tracking. Do not send sensitive personal information, children's data or information you are not lawfully authorized to provide unless we expressly agree to a lawful supported use in writing.

9.2 Our Privacy Policy at https://www.ad.com/privacy describes our collection and use of personal information. Accepting these Terms is not consent on behalf of another person and does not replace a notice, permission, consent or opt-out required by law. Each party must comply with laws applying to its own processing and honor applicable privacy choices and legally required signals.

9.3 Data purposes and roles. Account, campaign and measurement data may be used to deliver, measure, secure, bill and support the Services, prevent fraud and improve service performance as permitted by law and applicable privacy notices. Each party's legal role depends on the processing involved. These Terms do not designate all advertising activity as service-provider or processor activity. Any required controller, business, third-party, service-provider or processor terms must be documented in an applicable data agreement before that processing begins.

9.4 Data agreements. A signed data agreement controls for its covered processing. Where applicable law requires additional terms for a disclosure of personal information, the receiving party must limit processing to the specified lawful purposes, provide the required level of privacy protection, notify the disclosing party promptly if it cannot comply, and permit reasonable steps to assess compliance and stop or remediate unauthorized use. Neither party may rely on these general Terms to bypass additional contractual, transfer or consumer-choice requirements.

10. Suspension and Termination

10.1 You may stop using the Services and request account closure at any time. Archive active campaigns or contact support to stop them. Valid delivered charges remain payable; paid balance and promotional credit are handled under sections 5 and 6.

10.2 Either party may terminate for convenience on two days' written notice. We may suspend or terminate affected Services immediately for a material violation, reasonably suspected fraud, a payment failure, failed verification, a security threat or a legal requirement. Where appropriate and lawful, we will explain the issue and provide a reasonable opportunity to cure. We need not continue unlawful or unsafe activity.

10.3 On termination, delivery stops subject to section 7. We reconcile valid charges and refund unused customer-paid funds under section 5.6. Promotional rights are governed by section 6. Suspension or termination does not convert promotional credit into money or erase your paid-balance rights.

11. Confidential Information

Information identified as confidential, or reasonably understood to be confidential from its nature and circumstances, is "Confidential Information." It includes nonpublic account data, security information and individually negotiated commercial terms. It does not include publicly posted Terms or other information that is public without breach, lawfully known beforehand, independently developed, or received lawfully without a confidentiality duty. The receiving party will use reasonable care to protect it, use it only for the Agreement, and disclose it only to personnel, affiliates, professional advisers or service providers who need it and are bound by appropriate confidentiality duties. Legally required disclosure is permitted; where lawful and practicable, give advance notice and limit the disclosure to what is required. Personal information remains subject to applicable privacy obligations.

12. Representations and Warranties

Each party represents that it has authority to enter into and perform this Agreement and will comply with laws applying to its performance. You also represent that your account and verification information is accurate, you have the necessary rights to your domains and Advertisement content, your claims are properly substantiated, and you are authorized to use the payment methods and client accounts you provide. Each party remains responsible for its own acts and omissions.

13. Disclaimer

To the maximum extent permitted by law, except for express commitments in this Agreement or a signed order, the Site and Services are provided "as is" and "as available." Ad.com disclaims implied warranties of merchantability, fitness for a particular purpose, title and noninfringement. We do not warrant uninterrupted or error-free service, particular placements or advertising results. This disclaimer does not remove our express payment, refund, invalid-traffic or promotional obligations, or any warranty or right that cannot lawfully be excluded.

14. Indemnification

Each party will defend the other party and its officers, directors and employees against third-party claims to the extent caused by the indemnifying party's material breach of this Agreement, unlawful conduct, or infringement of a third party's intellectual-property rights through content or materials it supplies. It will pay damages and reasonable costs finally awarded or agreed in a permitted settlement. No party owes indemnity to the extent a claim results from the other party's breach, negligence or willful misconduct. The protected party must give prompt notice, reasonable cooperation at the indemnifying party's expense, and reasonable control of the defense; delayed notice excuses an obligation only to the extent of material prejudice. The protected party may participate at its own expense. A settlement requiring an admission, nonmonetary obligation or payment by the protected party requires its prior written consent, which will not be unreasonably withheld. These obligations are subject to section 15.

15. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, goodwill or business opportunities, arising from this Agreement. Each party's total liability arising from the advertising Services will not exceed the amount paid or payable by you for actually delivered Services, including media cost and platform fees but excluding taxes, unspent funds and promotional credit, during the 12 months before the event giving rise to the claim. Liability arising solely from use of the public Site will not exceed $100. These limits apply equally to both parties' indemnification obligations. They do not limit your obligation to pay valid authorized charges, our obligation to return unused customer-paid funds or correct invalid charges, liability for fraud, gross negligence or willful misconduct, or liability that cannot lawfully be limited. Damages payable to a third party under section 14 are not excluded merely because that third party's damages are consequential, but remain subject to the applicable monetary cap except where an express exception above applies.

16. Precedence and Other Agreements

A separate agreement signed by authorized representatives of both parties controls for its stated subject matter. An applicable signed data agreement controls for covered processing, and section 6 controls for the Ad Credit offer. Otherwise these Terms control over conflicting Campaign Settings or informal communications. Applicable law and inventory-specific prohibitions cannot be waived by a general campaign approval. Campaign Settings establish the approved operational details and authorized budgets; they do not silently change these Terms or create a guarantee.

17. Changes to These Terms

We may update these Terms prospectively by posting a dated version and notifying affected account holders. Material changes to an existing account's Agreement require your affirmative acceptance before they govern your subsequent use of the Services. If you do not accept, you may discontinue use and close your account; existing authorized charges and paid-balance refund rights remain governed by the previously accepted version. We may suspend new campaign activation pending acceptance. A change does not retroactively alter funded budgets, earned rights or an enrolled promotion. Nonmaterial clarifications take effect on the date stated in the notice. Other negotiated changes require a signed writing.

18. Governing Law and Venue

California law governs this Agreement, excluding conflict-of-law rules, subject to mandatory rights under applicable law. Unless a separate signed agreement states otherwise, disputes must be brought in the state courts in Los Angeles County, California, or, where federal jurisdiction exists, the United States District Court for the Central District of California. Each party consents to those courts. Before filing an ordinary commercial claim, the parties will try in good faith for 30 days after written notice to resolve it; this does not prevent urgent protective relief, suspend a limitation deadline or restrict a nonwaivable right.

19. Entire Agreement

This Agreement, including the documents expressly incorporated under section 16, is the entire agreement concerning its subject matter and replaces prior proposals or discussions on that subject. It does not replace a signed agreement that expressly remains applicable, a recorded enrollment offer protected by section 6, or rights that cannot lawfully be waived.

20. Survival

Provisions concerning accrued payment obligations, reconciliation and refunds, promotional restrictions and earned rights, intellectual property, data protection, confidentiality, indemnification, liability, disputes, and general contract interpretation survive termination to the extent needed to give them effect. Survival does not require continued advertising or extend an expired promotional use period.

21. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, civil unrest, government restrictions or widespread utility failures. The affected party will notify the other when practicable and use reasonable efforts to reduce the impact and resume performance. This clause does not permit charges for undelivered advertising, eliminate accrued payment or paid-balance refund obligations, or excuse obligations that law does not permit to be excused. If an Ad.com outage materially prevents use of earned Ad Credit before expiration, we will provide a reasonable extension or replacement opportunity.

22. Publicity

Neither party may use the other's name, logos or nonpublic relationship in press releases, customer lists or marketing without prior written permission. This does not prevent Advertisements from identifying the Advertiser as intended, displaying publicly available legal terms, or disclosures required by law.

23. Assignment

Neither party may transfer this Agreement without the other's written consent, except in connection with a merger, reorganization or sale of substantially all relevant assets to a successor that assumes the obligations. We may use affiliates and service providers to perform the Services and remain responsible for our obligations. A permitted corporate transfer does not sell or transfer Ad Credit to an unrelated advertiser or create a new promotional entitlement.

24. Notices and Contact

Send legal notices to legal@admedia.com or to Ad.com Interactive Media, Inc., c/o Legal Counsel, 21200 W Oxnard Street #429, Woodland Hills, CA 91367. Include your account identifier and the subject of the notice. We may send notices to the current account email address or through the platform. Email notice is effective on receipt, provided no delivery failure is reported; postal notice is effective when delivered. Either party may update its notice details by written notice. This notice mechanism does not replace legally required service of process. Routine support and billing questions may also be submitted through the platform or support@admedia.com.

25. General

If a provision is unenforceable, it will be limited to the extent necessary and the remaining provisions continue in effect. A failure or delay in enforcing a right is not a waiver. The parties are independent contractors; this Agreement does not create a partnership, employment relationship or general agency. No person is an intended third-party beneficiary except a person expressly protected by section 14. Electronic acceptance and signatures may be used to the extent permitted by law. Nothing in these Terms limits statutory rights that cannot be waived.
